1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity, "you" or "your") and Curveo, Inc. ("Curveo," "we," "our," or "us") governing your access to and use of the Curveo business analytics platform, website (curveo.co), applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or prominent notice in the Services. Your continued use after such notification constitutes acceptance of the modified Terms.
2. Description of Services
Curveo provides a cloud-based business analytics platform that enables users to:
- Upload, store, and analyze business data
- Create visualizations, dashboards, and reports
- Generate insights using AI-powered analytics
- Share and collaborate on data analysis
- Integrate with third-party data sources and tools
Service Availability: We strive to provide 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
Service Modifications: We may modify, suspend, or discontinue any part of the Services at any time with or without notice. We are not liable for any modification, suspension, or discontinuation.
3. Account Registration and Eligibility
3.1 Eligibility
You must meet the following requirements to use our Services:
- Be at least 16 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable law
- Provide accurate and complete registration information
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3.2 Account Creation
To use certain features, you must create an account by providing:
- Valid email address
- Full name and organization details
- Secure password meeting our requirements
- Billing and payment information (for paid plans)
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information remains accurate and current
We recommend enabling two-factor authentication for enhanced security.
3.4 Account Limitations
- One person or entity may not maintain more than one free account
- Accounts are non-transferable without our prior written consent
- You may not share account credentials with others
- Automated account creation is prohibited
4. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms.
4.1 Prohibited Activities
You may not:
- Illegal Activities: Use the Services for any illegal purpose or in violation of any laws
- Unauthorized Access: Attempt to gain unauthorized access to our systems, other accounts, or networks
- Interference: Interfere with or disrupt the Services or servers
- Malicious Code: Upload viruses, malware, or other harmful code
- Reverse Engineering: Decompile, disassemble, or reverse engineer any part of the Services
- Scraping: Use automated means to access, scrape, or extract data without permission
- Resale: Resell, sublicense, or redistribute the Services without authorization
- Spam: Send unsolicited communications or spam
- Impersonation: Impersonate any person or entity
- Infringement: Violate intellectual property rights of others
4.2 Content Standards
You are solely responsible for all data, files, and content you upload ("Your Content"). Your Content must not:
- Contain illegal, harmful, or offensive material
- Infringe on intellectual property or privacy rights
- Contain personal information of others without consent
- Violate any applicable data protection laws
4.3 Enforcement
We reserve the right to:
- Investigate potential violations of these Terms
- Remove or disable access to violating content
- Suspend or terminate accounts that violate these Terms
- Report illegal activities to law enforcement
- Cooperate with legal investigations
5. Your Data and Content
5.1 Your Ownership
You retain all rights, title, and interest in Your Content. We do not claim ownership of any data you upload to our Services.
5.2 License to Curveo
By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and transmit Your Content
- Display Your Content to you and authorized users
- Perform analytics and generate insights from Your Content
- Create backup copies for disaster recovery
- Improve our Services based on aggregated, anonymized usage patterns
This license exists solely to provide the Services and terminates when you delete Your Content or close your account.
5.3 Your Responsibilities
You represent and warrant that:
- You own or have necessary rights to Your Content
- Your Content does not violate these Terms or applicable law
- You have obtained all necessary consents for uploading personal data
- You comply with all data protection and privacy laws
5.4 Data Security and Backups
While we implement industry-standard security measures, you acknowledge that:
- No method of transmission or storage is 100% secure
- You are responsible for maintaining your own backups
- We are not liable for unauthorized access to Your Content
- You should not upload highly sensitive data unless necessary
5.5 Data Retention and Deletion
- You may delete Your Content at any time through your account
- Upon account closure, we will delete Your Content within 30 days
- We may retain certain data as required by law or legitimate business needs
- Deleted data may persist in backups for up to 90 days
6. Payment and Billing
6.1 Pricing
Current pricing is available on our website. We offer:
- Free tier with limited features
- Paid subscription plans (monthly or annual)
- Enterprise custom pricing
6.2 Billing Terms
- Subscription Fees: Billed in advance on a monthly or annual basis
- Automatic Renewal: Subscriptions automatically renew unless cancelled
- Payment Method: You must provide valid payment information
- Currency: All fees are in U.S. Dollars (USD)
- Taxes: Fees exclude applicable sales, use, or VAT taxes
6.3 Price Changes
We may modify pricing with 30 days' advance notice via:
- Email to your registered address
- Prominent notice in your account dashboard
Changes take effect at your next renewal. If you don't agree to the new pricing, you may cancel your subscription.
6.4 Refunds
- Monthly Plans: No refunds for partial months
- Annual Plans: Pro-rated refunds available within 30 days of purchase
- Exceptions: Refunds may be provided at our sole discretion for service failures
6.5 Failed Payments
If payment fails:
- We will attempt to charge your payment method multiple times
- Your account may be suspended after 10 days of non-payment
- Your account may be terminated after 30 days of non-payment
- You remain liable for all unpaid fees plus collection costs
6.6 Cancellation
You may cancel your subscription at any time:
- Cancellation takes effect at the end of the current billing period
- You will retain access until the end of the paid period
- No refunds for the remainder of the current billing period
- Your data will be deleted 30 days after cancellation
7. Intellectual Property Rights
7.1 Our IP Rights
The Services, including all content, features, functionality, software, code, designs, graphics, and documentation (excluding Your Content), are owned by Curveo and protected by:
- United States and international copyright laws
- Trademark laws
- Patent laws
- Trade secret laws
7.2 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services for your internal business purposes
- Download and use our mobile applications
This license does not permit you to:
- Modify, copy, or create derivative works
- Remove proprietary notices or labels
- Use our trademarks without permission
- Frame or mirror any part of the Services
7.3 Trademarks
"Curveo" and our logo are registered trademarks of Curveo, Inc. You may not use our trademarks without our prior written consent.
7.4 Feedback
If you provide suggestions, ideas, or feedback about our Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.
8. Third-Party Services and Integrations
Our Services may integrate with or contain links to third-party services, websites, or applications.
8.1 Third-Party Terms
- Use of third-party services is subject to their own terms and privacy policies
- We do not control and are not responsible for third-party services
- We make no warranties regarding third-party services
- You use third-party integrations at your own risk
8.2 API Usage
If you access our API:
- You must comply with our API documentation and rate limits
- We may monitor and restrict API usage
- We may change or discontinue API endpoints with notice
- Excessive or abusive API usage may result in suspension
9. Disclaimers and Limitation of Liability
9.1 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that defects will be corrected
9.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- Curveo shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Curveo shall not be liable for any loss of profits, revenues, data, or business opportunities
- Our total liability for all claims shall not exceed the amount you paid us in the 12 months preceding the claim
- These limitations apply regardless of the legal theory and even if we've been advised of the possibility of such damages
9.3 Exceptions
Some jurisdictions do not allow certain disclaimers or limitations. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
10. Indemnification
You agree to indemnify, defend, and hold harmless Curveo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of third parties
- Your Content and its use by us pursuant to these Terms
- Your negligence or willful misconduct
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Using the account closure feature in your dashboard
- Contacting our support team
11.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Prolonged inactivity
- At our sole discretion for any reason
11.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- Your Content will be deleted within 30 days
- You remain liable for all fees incurred prior to termination
- Provisions that should survive termination will continue (e.g., IP rights, disclaimers, indemnification)
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.
12.2 Informal Resolution
Before filing a claim, you agree to contact us at legal@curveo.co to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes through negotiation.
12.3 Arbitration Agreement
If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Arbitration will be conducted in Santa Monica, California
- The arbitrator's decision is final and binding
- You waive the right to a jury trial
- You waive the right to participate in class actions
12.4 Exceptions to Arbitration
Either party may bring a claim in small claims court or seek injunctive relief in court for intellectual property infringement.
12.5 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Curveo.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
13.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, wars, pandemics, internet failures).
13.6 Export Compliance
You agree to comply with all U.S. export and import laws and regulations in your use of the Services.
13.7 Government Use
If you are a U.S. government entity, the Services are "Commercial Computer Software" subject to standard license terms.
